The terms that apply to commissioning organisations and authorised users of the PlaceWell website and platform.

These terms govern your use of the PlaceWell website at [website URL] and the PlaceWell placement platform. Please read them carefully. Where this page shows a detail in square brackets, that detail has not yet been confirmed for publication.

1. Acceptance of these terms

By using this website or signing in to the platform, you agree to these terms. If you do not agree, please do not use the site or the platform.

Where your organisation has signed a separate written agreement with PlaceWell, that agreement takes precedence over these terms if the two conflict.

We may update these terms from time to time. The version published on this page applies to your use of the service. Where a change materially affects your rights, we will notify account holders.

2. Eligibility

  • You must be 18 or over and acting in a professional capacity
  • Platform accounts are issued to named individuals at organisations PlaceWell has agreed to work with
  • Only local authority and ICB commissioning teams may submit referrals
  • You must have authority from your organisation to use the service and to share the information you submit

We may verify eligibility at any time and may decline or withdraw access where these conditions are not met.

3. Permitted and prohibited use

Permitted use

You may use the website and platform for the legitimate professional purpose of making, reviewing and progressing placements, in line with your organisation's policies and applicable law.

You must not

  • Access, or try to access, cases or records you are not authorised to see
  • Share your credentials, or let anyone else use your account
  • Upload malicious code, or anything that could damage or disrupt the service
  • Attempt to probe, scan or test the security of the service without our written permission
  • Scrape, harvest, copy or republish content or data from the service, except as needed for your own case records
  • Use the service to send unlawful, defamatory, discriminatory, harassing or misleading content
  • Upload personal data you are not lawfully permitted to share with us
  • Interfere with, reverse engineer or attempt to derive the source code of the service
  • Use the service to build a competing product, or for any unlawful purpose

4. Accounts and security

  • Accounts are personal to you and must not be shared
  • You are responsible for keeping your password and authentication device secure
  • You must tell us immediately if you suspect your account has been compromised
  • Two-factor authentication may be required for some roles
  • You must tell your organisation's administrator when you no longer need access, so it can be removed

Activity carried out under your account is treated as carried out by you, unless you have told us the account was compromised.

5. Intellectual property

The website, the platform, and all software, design, text, graphics and other content we provide are owned by PlaceWell or its licensors and are protected by intellectual property law.

We grant you a limited, non-exclusive, non-transferable, revocable right to use the service for the purposes described in these terms. No other rights are granted. You must not remove or obscure any notice of ownership.

6. Content you submit

You keep all rights in the referral information, documents and messages you submit. You grant PlaceWell the right to host, store, process and display that content as needed to provide the service, and in line with the data processing terms agreed with your organisation.

You confirm that you are entitled to submit the content, that it is accurate as far as you are aware, and that sharing it with us does not breach any duty of confidence or data protection obligation.

We may remove content that breaches these terms or the law. We do not routinely monitor case content, and we do not exercise editorial control over the professional judgements recorded in it.

7. Third-party links and services

The site may link to websites and services operated by others, such as care provider websites or regulator listings. We provide those links for convenience only. We do not control them, we do not endorse them, and we are not responsible for their content, accuracy or privacy practices. Their terms apply when you use them.

8. Availability and changes to the service

We aim to keep the service available and working well, but we do not guarantee uninterrupted access. We may suspend access for maintenance, upgrades, or to protect the security of the service, and we will give notice where it is reasonable to do so.

We may add, change or withdraw features. Where a change materially reduces the service and your organisation has a written agreement with us, the notice and change provisions of that agreement apply. Any service level commitments are set out in that agreement, not on this page.

9. Disclaimers

PlaceWell provides a tool that supports placement work. It does not provide care, clinical, legal or financial advice, and it does not make placement decisions. Professional judgement and statutory responsibility remain with the commissioning organisation and its staff.

Information about care providers, availability and costs is supplied by others. We take reasonable care in handling it, but we do not warrant that it is accurate, complete or current, and you should verify it before relying on it.

Except as expressly set out in these terms or a written agreement, the service is provided on an 'as is' and 'as available' basis, and all warranties implied by law are excluded to the extent permitted.

10. Limitation of liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.

Subject to that, we are not liable for loss of profit, loss of business, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss.

Subject to the paragraphs above, our total liability arising out of or in connection with the service is limited to [liability cap]. Where your organisation has a written agreement with us, the liability provisions of that agreement apply instead.

11. Indemnity

You agree to indemnify PlaceWell against claims, losses and reasonable costs arising from your breach of these terms, your misuse of the service, or your submission of content you were not entitled to share. This does not apply to the extent the claim results from our own breach or negligence.

12. Suspension and termination

We may suspend or withdraw your access immediately where we reasonably believe you have breached these terms, where there is a security risk, or where your organisation asks us to remove your access.

Either party may end an ongoing arrangement in line with the written agreement between us, giving [Notice period] notice. On termination, your right to use the service ends. Data is returned or deleted in line with the agreed data processing terms. Sections that by their nature should survive termination — including intellectual property, liability and governing law — continue to apply.

13. Governing law and jurisdiction

These terms and any dispute arising from them are governed by [Governing law]. The courts of [Jurisdiction] have exclusive jurisdiction, except that we may bring proceedings to protect our intellectual property in any competent court.
